Job Description:

• The IT System and Support Engineer will be responsible for providing frontline technical support to Network Operation Centre. This includes installing software, diagnosing, repairing, maintaining, and upgrading all PC and telecommunication hardware and equipment to ensure optimal workstation performance.
• Required to work closely with senior telecommunication and senior systems engineers to assist them with server and switch management, capacity planning, security administration, sizing, monitoring, tuning, backup and recovery for all network systems. • Perform all desktop related tasks associated with the new hire and termination process. This includes PC builds and installations, telecom installation and configuration related tasks.
• Work with the Systems engineer to assess the need for and implement performance upgrades to PC machines, including the installation of memory, hard-drives, processors, and other related components.
• Develop end-user training materials and provide formal and informal training regarding hardware, office software, and security.
• Accurately document and track trouble tickets and manage the hardware repair and maintenance process with third parties.
• Assist IT management with the development of IT processes, procedures and controls.
• Preparation of weekly progressive and technical reports

Tyco Electronics to acquire ADC

Acquisition hinges on two legal investigations

Tyco Electronics and ADC announced this week a definitive agreement under which Tyco Electronics will acquire ADC for $12.75 per share in cash, or an enterprise value of approximately $1.25 billion. The transaction is expected to be accretive by approximately $0.14 per share in the first full year after closing excluding acquisition-related costs.


According to ADC, the combined organization will offer a product portfolio across every major geographic market. It will also add ADC's Distributed Antenna System (DAS) products, which will expand Tyco Electronics' wireless connectivity portfolio to provide greater mobile coverage and capacity solutions to carrier and enterprise customers as demand for mobile data continues to expand. Additionally, Tyco Electronics will add ADC's professional services organization in the US to its business.

The transaction is structured as a tender offer to be followed as soon as possible by a merger. The transaction is subject to customary closing conditions, including the tender of a majority of ADC shares and regulatory approvals, and is expected to close in the fourth calendar quarter 2010.

In conjunction with today's announcement, Tyco Electronics reported preliminary results for the fiscal third quarter ended June 25, 2010. The company reported sales of $3.1 billion, an increase of 23 percent over the prior year quarter and up 4 percent sequentially. GAAP EPS were $0.72 in the quarter which included $0.02 per share of income related to other items net of restructuring charges. Adjusted EPS were $0.70 in the quarter. The company's book-to-bill ratio was 1.06 for the quarter and 1.08 excluding Subsea Communications. The company will report complete results and provide further details on its fiscal third quarter before trading begins on July 22, 2010.

Twin Investigations Shortly after this announcement, Kendall Law Group, led by a former federal judge and a former U.S. Attorney, announced it is investigating ADC Telecommunications, Inc. for shareholders in connection with the proposed acquisition by Tyco Electronics. The national securities firm's investigation seeks to determine whether ADC and its Board breached their fiduciary duties by entering into the agreement without properly shopping for a deal that would provide better value for shareholders.

The firm has been counsel in numerous merger and acquisition cases nationwide, including some of the largest transactions in the United States.

Finally, the Law Offices of Howard G. Smith announced that it is also investigating potential claims against the board of directors of ADC Telecommunications, Inc. related to the Company's agreement to be acquired by Tyco Electronics, Ltd.

Sagem Wireless, a designer of connected lifestyle devices and services, and ST-Ericsson are to partner on the development of multimode LTE/HSPA+ reference designs, devices and modules. Sagem Wireless and ST-Ericsson are collaborating on a multimode platform, which can connect to LTE, HSPA+, 3G and GSM networks, to develop a mobile broadband modem to be launched before the end of 2010.


Supporting downlink speeds of up to 100 Mbps via LTE and 21 Mbps via HSPA+, Sagem Wireless' dongle modems will enable Internet Gateways to offer ultra high speed wireless access. These modems will also enable laptops to get online wherever there is mobile coverage. There are now 61 live commercial HSPA+ networks in 34 countries and 80 mobile operators, spanning 33 countries, are committed to deploying LTE, according to the GSM Association. Sagem Wireless also plans to use the multimode platform to produce modules that can bring high-speed mobile connectivity to laptops, netbooks, tablet computers, Machine to Machine (M2M) applications and other devices.

ST-Ericsson and Ericsson announced in December that they had successfully achieved mobility between LTE and HSPA networks, using a multimode LTE/HSPA device based on ST-Ericsson's platform.
